These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “you”) and Webzenia India (“Webzenia”, “we”, “our”, or “us”) governing your access to and use of our website, services, and deliverables. By engaging with our services or browsing our website, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our services or website.

1. Services Offered

Webzenia India provides a range of digital services, including but not limited to:

• Website Design and Development

• Search Engine Optimization (SEO)

• Social Media Marketing and Management

• Paid Advertising (e.g., Google Ads, Meta Ads)

• Content Creation and Copywriting

• Branding, Graphic Design, and Marketing Consultation

Details of the specific services, deliverables, timelines, and fees will be set forth in a separate contract or proposal issued by Webzenia and accepted by the client.

2. User Conduct and Obligations

By using our services or website, you agree that you will:

• Provide accurate and complete information during inquiries, onboarding, and communication

• Not engage in any spam, abusive, or unethical communication with Webzenia or through our platforms

• Comply with all applicable laws and regulations while using our services

Any breach of these obligations may result in immediate suspension or termination of services.

3. Service Timelines

Timelines for project initiation, progress, milestones, and delivery are mutually agreed upon before the start of each contract. Timelines are subject to client cooperation, timely approvals, and feedback. Delays caused by the client will not be attributable to Webzenia.

4. Payment Terms

Payment terms are defined in each individual contract or invoice. Unless otherwise stated:

• Webzenia may require full or partial advance payment

• Milestone-based or phased billing may apply in multi-stage projects

• Late payments will incur penalties or interest as specified in the signed agreement

• All invoices must be settled in full before project handover or launch

We reserve the right to suspend ongoing services in case of overdue payments.

5. Intellectual Property Rights

All intellectual property rights in the final deliverables, including code, designs, content, and strategy documents, shall vest with the client only upon full payment and project completion. Until such time, Webzenia retains all rights and control over the assets.

We reserve the right to showcase completed projects in our portfolio unless a written NDA prohibits such display.

6. Limitation of Liability

To the fullest extent permitted by law, Webzenia India shall not be held liable for any:

• Indirect, incidental, special, or consequential damages

• Loss of revenue, profit, business opportunities, or data

• Damages arising from website downtime, SEO performance fluctuations, or third-party integrations

Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

7. Service Termination

Either party may terminate an engagement in the following cases:

• Material breach of agreement by the other party

• Non-payment or unreasonable delay in communication

• Mutual written agreement between both parties

In case of termination, the client will be invoiced for all work completed up to the date of termination. No intellectual property rights shall be transferred unless the account is settled in full.

8. Third-Party Tools and Integrations

Webzenia may use third-party tools, platforms, or plugins as part of service delivery (e.g., Google Analytics, Facebook Ads, WordPress plugins). We are not liable for issues arising from these third-party services, including but not limited to pricing changes, outages, or data breaches originating from their end.

9. Confidentiality

We maintain strict confidentiality with respect to any proprietary information, project materials, or data shared with us. Both parties agree not to disclose sensitive information without prior written consent, unless required by law.

10. Amendments

Webzenia reserves the right to modify these Terms at any time. Updated versions will be posted on our website and become effective immediately upon publication. Continued use of our services constitutes your acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
